1. PURPOSE AND SCOPE

CHEMICAL SUPPLIES MARKETPLACE (“the Platform,” “we,” “us,” “our”) is a premium, global B2B marketplace for industrial chemicals. It is designed to facilitate structured Requests for Quotation (RFQs) and enable direct, transparent, and secure engagement between Buyers and Sellers.

The Platform provides a professional, trustworthy sourcing environment where Buyers can efficiently identify and engage with qualified, verified, and credible Suppliers, while maintaining full control over procurement decisions and commercial outcomes.

2. RFQ-BASED ENGAGEMENT

The Platform operates on a Request for Quotation (RFQ) model:

Buyers submit RFQs detailing product specifications, quantities, and procurement requirements.
Qualified and Verified Sellers review and respond directly to Buyers.
Buyers and Sellers communicate and finalize commercial terms off-platform, according to their own internal policies.

This RFQ structure ensures that Buyers:

Retain full discretion over supplier selection
Receive professional, targeted responses
Operate in a fully transparent and controlled sourcing process

3. QUALIFIED AND VERIFIED SELLERS

3.1 Qualification Standards

Sellers on the Platform are professionally screened to ensure that they:

Are legally registered business entities in their jurisdiction
Operate within the industrial chemicals sector with proven operational capacity
Possess the organizational ability to respond to RFQs efficiently and accurately
Maintain adherence to recognized industry, safety, and regulatory standards

3.2 Verification Measures

The Platform applies a robust verification framework, including:

Corporate identity and registration verification
Operational and contact information validation
Product scope and sector alignment assessment
Compliance document review where applicable

Periodic reassessment ensures ongoing integrity and reliability of Sellers.

3.3 Alignment with EU Procurement & ISO Standards

The qualification and verification process is designed to reflect best-practice procurement principles:

EU procurement norms: transparency, proportionality, non-discrimination
ISO-style assurance: structured assessment, consistency, documented process, continual improvement

This alignment ensures Buyers engage in a trustworthy, predictable, and high-quality sourcing environment.

3.4 Buyer Assurance Statement

The Platform’s Seller framework:

Increases relevance and quality of RFQ responses
Reduces exposure to non-professional counterparties
Supports informed, confident procurement decisions

While verification does not constitute a certification or warranty, Buyers benefit from a curated, compliant, and professionally managed network of Suppliers.

4. USER ELIGIBILITY AND REPRESENTATIONS

By accessing or using the Platform, Users represent that they:

Are legally authorized business entities or representatives
Have authority to submit or respond to RFQs
Comply with all applicable laws and regulations, including chemical safety, export controls, environmental, and trade laws
Provide accurate, complete, and truthful information

The Platform reserves the right to approve, suspend, or remove Users in accordance with its governance policies.

5. BUYER RIGHTS AND RESPONSIBILITIES

Buyers may:

Submit RFQs without obligation
Receive professional responses from Verified Sellers
Conduct due diligence and engage Sellers according to their own procurement and compliance policies

Buyers retain full control and discretion over all sourcing decisions, commercial terms, and supplier engagement.

6. SELLER RIGHTS AND RESPONSIBILITIES

Sellers agree to:

Respond professionally and transparently to RFQs
Provide accurate, verifiable commercial and technical information
Comply with all applicable regulations governing chemicals, safety, transport, and environmental standards
Uphold marketplace standards to maintain Verified Seller status

Non-compliance may result in suspension or removal from the Platform.

7. COMMERCIAL AND TRANSACTIONAL CLARITY

All commercial interactions – including quotations, purchase orders, agreements, shipments, and payments, occur directly between Buyer and Seller.

The Platform:

Does not set pricing or commercial terms
Does not participate in transactions
Does not guarantee delivery, product performance, or compliance

This ensures contractual clarity, Buyer autonomy, and risk transparency.

8. COMPLIANCE AND RESPONSIBLE TRADE

The Platform promotes responsible, lawful, and sustainable trade:

Users must comply with applicable chemical regulations, sanctions, export control, and environmental laws
Buyers may request documentation and certifications directly from Sellers
The Platform monitors marketplace integrity but does not assume regulatory responsibility

This ensures Buyers operate in a trusted, legally compliant sourcing ecosystem.

9. CONFIDENTIALITY AND DATA PRIVACY

RFQ details, commercial communications, and Supplier information are confidential. Users agree to handle all non-public information professionally and securely, consistent with standard procurement practices and privacy regulations.

10. PLATFORM AVAILABILITY AND SECURITY

The Platform is continuously improved to ensure:

High availability and uptime
Advanced cybersecurity and data protection
Reliability and professional usability

Temporary maintenance or upgrades may occur; the Platform will make reasonable efforts to minimize disruption.

11. INTELLECTUAL PROPERTY

All software, content, branding, and materials on the Platform are owned or licensed by CHEMICAL SUPPLIES MARKETPLACE. Unauthorized use or reproduction is strictly prohibited.

12. DISCLAIMER OF WARRANTIES

The Platform is provided “as is” and “as available”.

While the Platform promotes professional engagement, it does not guarantee:

Seller responsiveness or performance
Transaction outcomes or pricing
Regulatory compliance of Seller products

13. LIMITATION OF LIABILITY

To the fullest extent permitted by law, the Platform is not liable for:

Buyer-Seller disputes
Product performance, defects, or suitability
Regulatory or legal consequences arising from transactions

Liability is limited to any fees paid to the Platform in the preceding 12 months, if applicable.

14. INDEMNIFICATION

Users agree to indemnify and hold harmless the Platform from claims arising from:

RFQ submissions or responses
Buyer-Seller commercial disputes
Non-compliance with applicable laws or regulations

15. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of the Platform’s operating jurisdiction. Exclusive jurisdiction resides with the competent courts in that jurisdiction.

16. AMENDMENTS AND ENTIRE AGREEMENT

These Terms constitute the entire agreement regarding Platform use. Continued access or use constitutes acceptance of amendments.
